Presentation:
David Butler will speak on valuing oil and gas reserves. He will initially discuss qualitative aspects of petroleum reserve reports of the types commonly promulgated in the industry. He will then discuss in detail the process of valuing reserves with a focus on how a business appraiser converts a reserve report into a discounted cash flow forecast that can be used in a variety of contexts (tax, financial reporting and litigation). After the presentation, the listener will have an understanding of valuation issues so that s/he can begin to ask appropriate questions when reviewing the work of a valuation expert.

David is a manager in the Houston office of HSSK, LLC. where he values businesses and intangible assets in connection with: fairness opinions; financial reporting including purchase price allocations (ASC 805) and impairment testing for long-lived assets and goodwill (step 1 and step 2) under ASC 360 and 350; tax-related valuations (C-to-S conversions, estate and gift, reasonable compensation); cheap stock valuations under ASC 718 and IRC 409A; and litigation consulting. He is a Certified Public Accountant and has earned the Accredited Senior Appraiser designation in Business Valuation from the American Society of Appraisers. He is the past Chair (2014-2015) of the ASA Energy Valuation Conference and a current member of the Houston CPA Society Energy Committee.

Speaker's bio:
David Butler is a Manager in the Business Valuation practice. His areas of experience include valuing businesses, intangible assets and equity ownership in connection with purchase price allocations, impairment testing, buy-sell agreements, employee stock ownership plans, exit planning, fairness opinions, federal tax litigation, gift and estate tax valuations, C-to-S conversions, reasonable compensation studies, litigation, marital dissolution, and shareholder/partner disputes. He has performed fair value engagements for both privately held businesses and SEC registrants.

Mr. Butler has experience in diverse industries including architecture & engineering, commercial real estate, distribution, energy, financial brokerage, diversified manufacturing, trucking, retail, software development, and supermarkets. He has valued non-operating entities (partnerships, FLPs, complex GRATS and other estate planning vehicles) with a variety of assets including working oil and gas interests, undivided real estate interests, promissory notes, commercial and rental real estate, complex distribution tranches, farmland/ranches and undeveloped land.

Mr. Butler has experience valuing intangible assets including contingent consideration, assembled workforce, tradenames, patents, software, deferred revenue, TV and radio broadcast contracts, natural gas contracts, non-compete agreements, favorable/unfavorable leases, franchise rights, advertising/sponsorship contracts, naming rights, concessions agreements, season ticketholders, stadium suites, and customer relationships.

Mr. Butler's energy-related valuations include oil and gas (upstream / E&P, midstream including FERC-regulated pipelines, downstream blending and marketing), oilfield services (drilling contractor services, drilling rigs and rig equipment, drilling fluids and proppants, pressure-pumping services, well maintenance equipment and services, offshore engineering, OCTG/pipe inspection, well completion services) and retail energy distribution (electricity and natural gas).

About the Houston (The Woodlands), TX Chapter

The Woodlands chapter covers The Woodlands and surrounding areas north of Houston.

We hold monthly business morning meetings (except November and December) and occasional evening social meetings.

1. BUSINESS MEETINGS: The Woodlands subchapter meets every 4th Wednesday of the month (no meetings in November and December).

Bryan has over 27 years of professional experience and serves as the Tax Partner-in-Charge at Calvetti Ferguson. He provides a comprehensive array of tax planning and consulting services to both public and private companies, including specialized support in the areas of research and development (R&D) tax credits and incentives, Section 199 domestic production activities deductions (DPAD), and accounting for income taxes under ASC 740 / FAS 109 and uncertain tax positions (UTPs) / FIN 48.
