In this session, we will discuss purchase price allocations (PPAs) and fairness opinions, and how finance executives and boards of directors can use the analysis from these valuation exercises to improve financial reporting and make proper fiduciary decisions. We will start by discussing the purpose of a PPA and its key elements, including the identification of assets acquired, how a purchase price is allocated across assets acquired, and how to avoid extensive questioning from auditors and the SEC. We will also discuss the purpose and key elements of a fairness opinion, including the scope of the work, the valuation methodologies used, and the conclusion of the valuation professional. This session is designed to provide you with the information needed to understand PPAs and fairness opinions, and to identify potential red flags that could prolong the financial reporting process or lead to shareholder disputes.
Speaker's Bio:
Andy Frew, Vice President, has nearly 25 years of business valuation experience. He has been involved with hundreds of valuation and related engagements in numerous industries, including oilfield services, construction and building materials, food and beverage distribution, and retail. He values businesses and business interests for financial reporting, corporate tax, corporate M&A, buy/sell agreement, and business succession and exit planning purposes. Prior to joining Mercer Capital, Andy was a senior manager in the Houston, Texas office of Forvis (formerly BKD). Andy began his valuation career in 2000 with HFBE, Inc. Andy has a BBA in finance from Texas A&M University.
