Presentation:

1. The preferred path depends on the owner’s priorities.

Compare alternatives through five lenses: current liquidity, retained control, future upside, tax and estate implications, and the amount of business risk transferred.

- Status Quo: Retain full ownership and control while continuing to grow the business for a future transition.

- Debt Recapitalization: Generate shareholder liquidity through borrowing without selling equity or relinquishing control.

- Minority Recapitalization or Management Buyout: Create partial liquidity while retaining control and adding outside or management capital.

- ESOP Transaction: Transfer ownership over time to employees through a structured employee stock ownership plan.

- Majority Recapitalization: Sell a controlling interest while retaining rollover equity and participation in future growth.

- Strategic Sale: Sell the company to a strategic buyer to maximize current liquidity and transfer most future business risk.

Speaker's bio:
Mr. Vance is an experienced strategic and financial leader with four successful exits, three of which were in technology and software. To date, Mr. Vance has been responsible for over 20 major business transactions in his career and has held multiple executive management positions including CFO and CEO. He holds an undergraduate degree from LSU in Finance and a MBA from the University of Houston.

As part of the M&A team at Statesman, Mr. Vance's passion is working with founder owned businesses to maximize the value of the firm using innovative strategies and creative solutions. These strategies may include non-dilutive capital sourcing to accelerate the growth of the company or the transition of a minority interest in the company to create liquidity while maintaining control. 

Mr. Vance was named Best CFO in 2010 by the Houston Business Journal in the emerging private company category.
